Deal Services

Five fixed-fee deal services, and how to choose between them.

When a deal or a decision is on the table, one of five defined pieces of work answers it: a Quality of Earnings, operational due diligence, an Exit Readiness Review, Capital Readiness, or the SBA quality of earnings a 7(a) lender relies on. Each is one fixed fee, quoted in writing after a scoping call, for businesses earning roughly $500K to $5M of EBITDA.

Most deals at this size land on a Quality of Earnings at Core scope, and most owners more than a year from a sale land on the Review.

Before you spend on diligence

The Red-Flag Screen says whether the deal is worth a full review.

A judgment read of what you already have, in about five business days, before a letter of intent or before you pay for a full Quality of Earnings. We say where the risk sits. Whether the earnings tie to the tax return, whether the add-backs look real, any customer above our 15 to 20% test, whether the owner holds the relationships the revenue depends on, and what working capital the business needs on day one. No tie-outs and nothing a lender can rely on; credited toward a review if you proceed. Owners who are selling use it as the first look at their own books.

Who does the work

Every service is run by the two partners who scoped it.

Ryan Anoskey, CPA, leads the numbers. Jared Luegers, CFA, leads the operational read and performs the documented second review. LIMESTONE issues every report. At scoping we tell you the fee and the earliest Day 1 we can hold, and we say what the calendar holds before you sign. How an engagement runs is on the How We Work page.

Questions

Three questions about choosing a service.

The independence rules are written once, in the FAQ. The Quality of Earnings page carries the scopes, the fees and the sample reports.

I am buying and borrowing. Which do I need?

One Quality of Earnings answers both when the lender will accept it. On a 7(a) deal with a business purchase price of $3 million or more the lender holds the report, its own or yours once one of its vendors has reviewed it, and below that line the lender still owes financial due diligence and usually accepts yours. Capital Readiness is for raising equity or refinancing, where there is no seller.

What is the difference between the Exit Readiness Review and a sell-side Quality of Earnings?

The Review is the sell-side Quality of Earnings at Core scope plus the operator read, in one report with a fix list at the end. Take the Quality of Earnings on its own when a buyer is already at the table.

Do you still build financial models or run a working capital review on their own?

The model is built inside Capital Readiness, and the working capital peg is set inside every Quality of Earnings at Core scope and above, so neither is a separate service. If a lender or an investor wants only the model, Capital Readiness is scoped to it.
